Stardex Terms of Service

1. Acceptance of Terms

Welcome to Stardex! These Terms of Service ("Terms") govern your access to and use of the Stardex platform, a CRM and ATS for recruiting firms, provided by SedimentIQ Corp ("Stardex," "we," "us," or "our"). By accessing or using Stardex, you agree to be bound by these Terms. If you do not agree to these Terms, do not use Stardex.

2. Description of Service

Stardex provides a cloud-based software platform that combines CRM and ATS functionality to help recruiting firms manage their candidate and client relationships, streamline their recruitment processes, and automate certain tasks.


3. Account Registration

To access Stardex, you must create an account. You agree to provide accurate and complete information during registration and keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.  


4. Use of the Platform  

  • Permitted Use: You may use Stardex only for lawful purposes and in accordance with these Terms.

  • Prohibited Use: You agree not to:

    • Use Stardex in any way that violates any applicable law or regulation.

    • Use Stardex to transmit any unauthorized advertising, promotional materials, or spam.

    • Attempt to gain unauthorized access to Stardex or its related systems or networks.

    • Interfere with or disrupt the integrity or performance of Stardex.

    • Use Stardex to store or transmit any infringing, libelous, or otherwise unlawful or tortious material.

    • Reverse engineer, decompile, or disassemble Stardex.

    • Use any robot, spider, or other automatic device to access or use Stardex for any purpose.

    • Remove any copyright, trademark, or other proprietary notices from Stardex.

    • Use Stardex in a manner that could damage, disable, overburden, or impair the platform or interfere with any other party's use of Stardex.

    • Attempt to bypass any measures we may use to prevent or restrict access to Stardex.


5. Fees and Payment

  • Access to Stardex is subject to payment of applicable fees as outlined on our pricing page.

  • You agree to pay all fees in accordance with the payment terms presented to you at the time of purchase.

  • All fees are non-refundable, except as expressly provided in these Terms or as required by law.

  • We use Stripe to process payments. You must comply with Stripe's terms of service as well.


6. Intellectual Property

Stardex and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by SedimentIQ Corp, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.  


You are granted a limited, non-exclusive, non-transferable, revocable license to access and use Stardex solely for your internal business purposes. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our platform, except as necessary for your permitted use of Stardex.  


7. Termination

We may terminate or suspend your account and access to Stardex immediately, without prior notice or liability, for any reason, including if you breach these Terms. You may terminate your account at any time by contacting us at sanket@stardex.ai. Upon termination, your right to use Stardex will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.  



8. Disclaimer of Warranties  

Stardex is provided "as is" and "as available" without warranty of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that Stardex will be uninterrupted, error-free, or secure.  


9. Limitation of Liability

In no event shall Stardex, its officers, directors, employees, or agents, be liable to you for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of Stardex, even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising out of or relating to these Terms or Stardex shall not exceed the amount paid by you to us during the twelve (12) months preceding the claim.  


10. Indemnification

You agree to defend, indemnify, and hold harmless Stardex, its officers, directors, employees, and agents, from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your access to or use of Stardex or your violation of these Terms.  


11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.  


12. Changes to These Terms

We may modify these Terms at any time. We will post the updated Terms on our website and update the "Last Updated" date. Your continued use of Stardex after the posting of the updated Terms constitutes your acceptance of the changes.
